We are looking for a Junior Legal Counsel to join our Tallinn team!
This position will provide legal support and advise various teams. This position will be part of the global legal team.
What will you do in the role?
- Draft platform documents for admission of issuers to private equity fundraising and trading platform
- Review private issuer corporate governing documents/ shareholders agreements, and consider issuer procedural matters such as corporate actions and voting procedures
- Corporate secretarial matters for diverse entities including board meetings/ minutes and appropriate filings
- Advising on a broad range of general corporate matters such as employment, IP, data protection, and third-party supply agreements
- Review legal and regulatory opinions from external counsel on range of matters from new markets to new products
- Adhoc corporate work including SPAs, M&A, JVs and asset acquisitions/ disposals
- Maintain and contribute to internal knowledge capture and related trackers
- Bespoke projects
What are we looking for?
- Minimum of 1 year experience on the same/similar capacity
- Experience in financial services and investment sector (buy/ sell side)
- Qualified lawyer in the EEA
- Knowledge of UK/ EU financial services laws and regulations
- In-house experience preferred but not essential
Familiarity with FinTech (equity crowdfunding sector) ideal but not essential - Efficient and effective with strong attention to detail
- Highest integrity and personal standards
Positive, proactive, and problem-solving attitude - Collaborative, personable and confident
- Keen to learn and progress, yet able to work without direct supervision
- Excellent command of written and spoken English
- Sees the vision and excited by the challenge of a global working environment
- Experience and/or interest in start-ups
- Lawyers from other jurisdictions who hold QLTS or SQE may also be considered
